Patricia officially retired from the firm as of December 31, 2023. The firm thanks her for her impeccable service to clients and wishes her all the best in the next chapter of her life!

Patricia is an experienced commercial and corporate lawyer and is the lead for the Firm’s corporate department. She has a broad range of experience in every aspect of buying, selling, financing and operating businesses in a wide variety of industries, but with particular emphasis in agricultural industries, energy development, and entertainment.  Her experience also includes advising on corporate governance matters, securities and equity financing, commercial and residential real estate transactions, and film and television development, financing and production.  She is proud to provide strategic, practical and trusted advice to businesses of every size.

 

Patricia studied pre-law at the Brandon University and received her Bachelor of Laws degree from the University of Manitoba in 1982. She was called to the Saskatchewan Bar in 1983.  She was honoured with a Queen’s Counsel appointment in 2010.

 

Patricia is currently vice-chair of the RCMP Heritage Centre and vice-chair and member of the board of directors of the Buffalo Pound Water Treatment Corporation. She is a past member of the board of directors of the Canadian Chamber of Commerce, a former public board member appointed by order in council of the Saskatchewan Applied Science Technologists and Technicians (SASTT). She is also a former Chair of the Saskatchewan Chamber of Commerce, a former director and trustee of the board of the National Film Board of Canada, past board member of Creative Saskatchewan, past board member and Vice-Chair of the Regina Airport Authority and past board member of Inclusion Regina.  In 2011, Patricia was recognized as a Woman of Influence in Saskatchewan for her contributions as a professional in her community.

 

Patricia was recently honoured by being appointed Honorary Consul by the Embassy of Iceland in Regina, with jurisdiction over the Province of Saskatchewan. In 2022, Patricia was honoured by receiving the Queen Elizabeth II Platinum Jubilee Medal (Saskatchewan), recognizing her contributions to our country, our province, and our communities.

 

Patricia was selected as the 2023 Community Service Award recipient by CBA Saskatchewan. Patricia was chosen for her service to her community throughout her career including contributions to numerous Boards and volunteering countless hours for community and non-profit organizations.

 

Patricia also provides leadership as an engaged partner in the Regina office.  She currently serves on the Firm’s Strategic Planning, Practice, and Marketing Committees.  As well, she is the chair of the Firm’s Corporate/Commercial Practice Group.

 

Transactional Experience:

  • Saskatchewan counsel for Canada Infrastructure Bank with its C$173M repayable contribution facility for the Bekevar Wind Project in Saskatchewan.
  • Acted for SSC Security Services Corp. in the acquisition of all of the shares of Logixx Security Inc. from Avante Logixx Inc.
  • Lead counsel for Input Capital Corp. on its acquisition of SRG Security Resource Group.
  • Lead counsel for Avena Foods Limited in the sale of shares of Avena Foods Limited to Ironbridge Equity Partners.
  • Lead counsel for Verdient Foods Inc. in the construction of a pea protein fractionation plant.
  • Lead counsel for Verdient Foods Inc. in a joint venture with Ingredion Incorporated.
  • Acted for several national and international independent power producers in preparation of and submission to SaskPower’s request for qualifications and request for proposals in respect to the 200 MW wind power project and 20MW solar power project.
  • Lead counsel for Assiniboia Farmland Limited Partnership in respect to a sale of over 110,000 acres of Saskatchewan farmland to the Canadian Pension Plan Investment Board valued at $128,000,000.
  • Lead counsel for Seaboard Corporation in its acquisition of Blue Hills Processors (2003) Ltd.
  • Acted for Scoular Company in its acquisition of Legumex Walker Inc.’s special crop division assets in Saskatchewan.
  • Lead counsel for Input Capital Corp. respecting a short form prospectus offering on a bought deal basis of Class A Common Voting Shares for aggregate gross proceeds of approximately $46 million.
  • Lead counsel for Input Capital Corp. with the completion of an aggregate $41 million public offering and concurrent private placement of Class A Common Voting Shares.
  • Lead counsel for Input Capital Corp. to complete a reverse-takeover of a capital pool company and become a listed entity on the TSX Venture Exchange.
  • Acted for shareholders in sale of shares in Seed Hawk to Vaderstad.
  • Acted for shareholders in sale of shares in Precision Ag to Cargill.

 

Patricia has recently been ranked again in Band 1 for Corporate/Commercial in Saskatchewan by Chambers Canada in their 2024 directory. In the review, Patricia is considered ‘firmly positioned at the forefront of the corporate and commercial law market locally and nationally. She attracts praise for her expertise in lending and M&A transactions’.

 

Patricia was recently selected by her peers for inclusion in The Best Lawyers™ in Canada 2024 in the fields of Corporate Law, Entertainment Law and Mergers & Acquisitions Law for Regina. She has also been chosen by her peers as Lawyer of the Year in Mergers & Acquisitions for 2024 in Regina. She has been listed in Best Lawyers® since 2011.

 

Patricia has also been “Repeatedly Recommended” in the area of Corporate Commercial Law and is listed in the 2023 Canadian Legal Lexpert® Directory.

Patricia is also an active member in  Lawyers Associated Worldwide (LAW), a global association of independent commercial law firms.
